Interpretation and Definitions

• Application or Service means the Complice software application, for iOS, iPadOS, and macOS.
• Application Store means the Apple App Store, operated by Apple Inc.
• Country refers to: France.
• Device means any device that can access the Service, such as an iPhone, iPad, or Mac.
• In-app Purchase refers to a purchase of a Subscription made through the Application, subject to these Terms and to Apple's own App Store terms.
• Subscription refers to paid access to certain cloud AI features of the Service, offered on a recurring basis.
• API Key refers to a personal access credential you may obtain from a third-party AI provider (e.g. Anthropic, OpenAI, Google) and enter into the Service, on Mac, to use that provider's models directly.
• We, Us, the developer refers to Louis-Auguste Bacot, the individual developer of Complice.
• You means the individual using the Service.

Acknowledgment

These Terms govern your use of Complice and form the agreement between you and the developer. By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, please do not use the Service.

You represent that you are over the age of 16, or the age of digital consent in your country of residence, whichever is higher.

Your use of the Service is also conditioned on your acceptance of the Privacy Policy, which explains how local and cloud AI models handle your data.

Description of the Service

Complice is a local-first AI chat application. By default, conversations run entirely on-device using open-source local models. You may optionally use cloud AI models (Claude, GPT, Gemini) for additional capability. On iOS, most cloud models require a Subscription. On Mac, you may instead supply your own API key for a given provider to use that provider's models directly, without a Subscription.

Subscriptions (primarily iOS)

Subscription period. Certain cloud AI features require a paid Subscription, billed in advance on a recurring basis via In-app Purchase. At the end of each period, your Subscription automatically renews under the same conditions unless you cancel it, or unless the developer discontinues it.

Cancellation. You may cancel your Subscription at any time via your Apple ID account settings (Settings > [your name] > Subscriptions). You will not receive a refund for the current billing period, and you will retain access to paid features until the end of that period.
